Please read these Terms and Conditions ("Terms") carefully before using the https://theralist.ca website (the "Service") operated by Axologic Software Inc. ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service, including therapists who create profiles on the platform.

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you disagree with any part of these Terms, you may not access the Service.

1. Eligibility

You must be at least 18 years of age to use this Service. By accessing or using the Service, you represent and warrant that you are at least 18 years old. If you are under 18 and wish to use the Service to find mental health support, please do so with the assistance of a parent or legal guardian who agrees to these Terms on your behalf.

We do not knowingly collect personal information from persons under the age of 13. If you believe a child under 13 has provided us with personal information, please contact us at [email protected].

2. Accounts

2.1 Account Registration

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account.

2.2 Account Security

You are responsible for safeguarding the password you use to access the Service and for any activities or actions taken under your account. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2.3 Authentication

We use Kinde for user authentication. By creating an account, you agree to comply with Kinde's terms of service (available at https://docs.kinde.com/trust-center/agreements/terms-of-service/) and privacy policy, in addition to these Terms. We are not responsible for any issues arising from Kinde's authentication services.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:

  • Use the Service in any way that violates applicable federal, provincial, or local laws or regulations
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Use automated means (bots, scrapers, crawlers, or similar tools) to access, collect, or copy data from the Service without our prior written consent
  • Attempt to gain unauthorized access to any portion of the Service, or any systems or networks connected to the Service
  • Upload or transmit any harmful code, malware, or malicious content
  • Harass, abuse, threaten, or otherwise harm other users or therapists listed on the Service
  • Post or transmit unsolicited communications (spam) or engage in phishing
  • Circumvent or attempt to circumvent any access controls, usage limits, or security features of the Service
  • Use the Service to collect contact information of therapists for any purpose other than seeking mental health services
  • Engage in any conduct that could damage, disable, overburden, or impair the Service

We reserve the right to investigate and take appropriate action against violations of this section, including suspending or terminating accounts.

4. Therapist Profiles

4.1 Profile Creation

Therapists may create profiles on the Service. By creating a profile, you represent and warrant that all information provided is truthful, accurate, complete, and up to date, and that you hold all licences, registrations, and credentials stated in your profile.

4.2 Content Licence

By submitting content to your profile (including biography, photo, credentials, and other information), you grant Axologic Software Inc. a non-exclusive, royalty-free, worldwide licence to host, display, reproduce, and distribute that content solely for the purpose of operating and promoting the Service. This licence terminates when your profile is removed or your account is deleted, except to the extent content has been cached or archived in the ordinary course of operating the Service.

You retain ownership of content you submit. You represent and warrant that you have all rights necessary to grant the above licence, and that your content does not infringe any third-party intellectual property rights.

4.3 Profile Accuracy

We reserve the right to verify the information provided in therapist profiles. If we determine, in our sole discretion, that any information in a profile is false, misleading, or inaccurate, we may:

  • Update the information ourselves
  • Request that you correct the information
  • Suspend your account until the information is corrected
  • Remove your profile from the Service
  • Terminate your account

4.4 Profile Removal

We reserve the right to remove any therapist profile from the Service at any time, for any reason, without prior notice. This includes, but is not limited to, violations of these Terms, complaints from users, or any other reason we deem necessary to protect the integrity of the Service.

4.5 No Refunds for Policy Violations

If your profile is removed from the Service due to a violation of these Terms, including but not limited to providing false or inaccurate information, you will not be entitled to any refund of fees paid.

5. Subscriptions

5.1 Billing

We offer subscription-based services for therapists. By subscribing, you agree to pay all fees associated with your chosen subscription plan. All fees are in Canadian dollars unless otherwise stated.

5.2 Subscription Responsibility

While we may send billing reminders or notifications, we are not obligated to do so. It is solely your responsibility to manage your subscription, including:

  • Monitoring your subscription status
  • Being aware of when free trial or promotional periods end
  • Cancelling your subscription before the next billing cycle if you do not wish to continue
  • Managing any coupons or promotional offers and their expiration dates

You acknowledge that failure to cancel your subscription, including at the end of any free trial or promotional period, will result in automatic billing at the then-current subscription rate.

5.3 Free Trials and Promotions

If we offer a free trial or promotional period, the terms and duration will be specified at sign-up. At the end of the trial or promotional period, your subscription will automatically convert to a paid subscription at the then-current rate unless you cancel before the period ends.

5.4 Price Changes

We reserve the right to change subscription fees at any time. We will provide at least 30 days' notice of any price increase by email to the address associated with your account. Your continued use of the Service after the price change takes effect constitutes your agreement to pay the updated fee.

5.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Your cancellation will take effect at the end of your current billing cycle. You will retain access to paid features until the end of that cycle.

5.6 No Refunds

We do not provide refunds for any unused portion of a subscription period. By agreeing to these Terms, you acknowledge that all sales are final and no refunds will be issued, except where required by applicable law.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Axologic Software Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of Canada and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Axologic Software Inc.

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without any obligation to compensate you.

7. Links to Third-Party Websites

The Service may contain links to third-party websites or services that are not owned or controlled by Axologic Software Inc. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We encourage you to review the terms and privacy policies of any third-party sites you visit.

8. No Mental Health Advice or Services

8.1 Information Purpose Only

The content and services provided on the Service are for informational and directory purposes only. Nothing on the Service is intended to create a therapist-client relationship, to replace the services of a licensed mental health professional, or to be a substitute for professional mental health advice, diagnosis, or treatment.

8.2 Not a Substitute for Professional Help

You should not rely on anything contained on the Service to make (or refrain from making) any decisions about your mental health or care. Always consult with a qualified mental health professional for questions about your mental health before making any mental health-related decisions.

8.3 Emergency Services

If you are experiencing a mental health emergency, call emergency services (911) immediately or go to the nearest emergency room. You may also contact the 988 Suicide Crisis Helpline by calling or texting 988. Do not rely on the Service or electronic communications for urgent mental health needs.

8.4 No Endorsement

Axologic Software Inc. does not recommend or endorse any specific therapists, tests, mental health professionals, products, procedures, opinions, or other information that may be mentioned on the Service. Reliance on any information provided by Axologic Software Inc., its employees, or others appearing on the Service is solely at your own risk.

8.5 User Responsibility

As a user seeking mental health services, you are responsible for conducting your own diligence to ensure that any therapist you select is appropriate for your needs and complies with all applicable laws, regulations, and licensure requirements in your jurisdiction.

9. Service Availability and Modifications

We do not guarantee that the Service will be available at all times or without interruption. We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We are not liable for any failure or delay in performing our obligations where such failure or delay results from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, power failures, internet outages, or third-party service disruptions.

10. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Axologic Software Inc. does not warrant that: (a) the Service will function uninterrupted, securely, or be available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Axologic Software Inc., its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service.

To the maximum extent permitted by applicable law, Axologic Software Inc.'s total cumulative liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of: (a) the total fees paid by you to Axologic Software Inc. in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred Canadian dollars (CAD $100).

The foregoing limitations do not apply to liability arising from fraud, gross negligence, wilful misconduct, or any liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Axologic Software Inc. and its licensors, and their respective employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including legal fees) arising out of or relating to: (a) your access to or use of the Service; (b) your violation of these Terms; (c) content you submit to the Service; or (d) your violation of any third-party rights, including intellectual property rights.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute, you agree to first contact us at [email protected] and provide written notice describing the nature of the dispute and the relief sought. We will attempt to resolve the dispute informally within 30 days of receiving your notice. If the dispute cannot be resolved informally within that period, either party may pursue formal resolution as set out below.

13.2 Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law provisions. You agree that any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada.

14. Termination

14.1 Termination by You

You may stop using the Service at any time. To delete your account, contact us at [email protected].

14.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms or engage in conduct we determine, in our sole discretion, to be harmful to other users, therapists, or the Service.

14.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, disclaimers, indemnification, and limitations of liability.

15. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will endeavour to provide at least 30 days' notice before the new terms take effect, either by email to the address associated with your account or by a prominent notice on the Service. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the Service.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Axologic Software Inc. regarding the Service, and supersede all prior agreements and understandings, whether written or oral, relating to the Service.

16.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be enforced to the fullest extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. A waiver of any provision will only be effective if made in writing and signed by an authorized representative of Axologic Software Inc.

16.4 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

16.5 Relationship of Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Axologic Software Inc.

16.6 Language

These Terms are provided in English and French. In the event of any conflict or inconsistency between the two versions, the English version shall govern.
